BANKRUPTCY; LIENS/ENCUMBRANCES. Seller has not become subject to voluntary or involuntary bankruptcy proceedings. Except only as specified on SCHEDULE 3.10 and the Guild Liens, there are no liens, encumbrances or claims on the Assets or any portion thereof or upon any revenues or receivables from the Exploitation of the Film Assets except for such liens, encumbrances or claims that will not have a Material Adverse Effect on the Assets or Seller.
