Common use of Bailees Clause in Contracts

Bailees. If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrower's agents or processors, Borrower shall, upon the request of Lender, notify such warehouseman, bailee, agent or processor of the security interests in favor of Lender created hereby and shall instruct such Person to hold all such Collateral for Lender's account subject to Lender's instructions.

Bailees. If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrower's agents or processors, Borrower shall, upon the request of LenderLenders, notify such warehouseman, bailee, agent or processor of the security interests in favor of Lender Agent, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for LenderAgent's account subject to LenderAgent's instructions.

If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrower's or any Subsidiary's agents or processors, Borrower shall, upon the request of LenderAgent or Lenders, notify or cause to be notified such warehouseman, bailee, agent or processor of the security interests in favor of Lender Agent, for the benefit of Agent and Lenders, created hereby or by the other Loan Documents and shall instruct such Person to hold all such Collateral for LenderAgent's account subject to LenderAgent's instructions.

If any Collateral is at any time in the possession or ------- control of any warehouseman, bailee bailee, consignee or any of Borrowera Debtor's agents or processors, Borrower such Debtor shall, upon the request of LenderAgent, notify such warehouseman, bailee, consignee, agent or processor of the security interests in favor of Lender Security Interests created hereby and shall instruct such Person to hold all such Collateral for LenderAgent's account subject to LenderAgent's instructions.

If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of the Borrower's ’s agents or processors, the Borrower shall, upon the request of Lender, shall promptly notify such warehouseman, bailee, agent or processor of the security interests Lien in favor of Lender the Bank created hereby hereby, if applicable, and shall instruct such Person to hold all such Collateral for Lender's the Bank’s account subject to Lender's the Bank’s instructions.

If any Collateral is shall at any time be in the possession or control of any warehousemanwarehouse, bailee or any of BorrowerDebtor's agents or processors, Borrower Debtor shall, upon the request of LenderAgent, notify any such warehousemanwarehouse, bailee, agent or processor of the security interests in favor of Lender created hereby and Security Interests, shall instruct such Person to hold all such Collateral for LenderAgent's account subject to LenderAgent's instructionsinstructions and shall use commercially reasonably efforts to obtain an acknowledgement from such Person that such Person holds the Collateral for Agent's benefit.

If any of the Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrowerthe Debtor's agents Agents or processors, Borrower shallthe Debtor shall notify the Agent (and revise Schedule A to this Agreement to this effect), upon and at the request of Lenderthe Agent, notify such warehouseman, bailee, agent Agent or processor of the security interests in favor of Lender interest created hereby and hereunder, shall instruct such Person to hold all such Collateral for Lenderthe Agent's account subject to Lenderthe Agent's instructionsinstructions and shall obtain for the Agent such Person's acknowledgment of the same.

If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of any Borrower's agents or processors, such Borrower shall, upon the request of LenderLenders, notify such warehouseman, bailee, agent or processor of the security interests in favor of Lender Administrative and Documentation Agent, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for LenderAdministrative and Documentation Agent's account subject to LenderAdministrative and Documentation Agent's instructions.

If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of the Borrower's ’s agents or processors, the Borrower shall, upon promptly after request therefor by the request of LenderBank, notify such warehouseman, bailee, agent or processor of the security interests Lien in favor of Lender the Bank created hereby and shall instruct such Person to hold all such Collateral for Lender's the Bank’s account subject to Lender's the Bank’s instructions.

Bailees. If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrower's US Obligor’s agents or processors, Borrower shall, upon the request of LenderAgent, notify Borrower shall notify, or arrange the notification of, such warehouseman, bailee, agent or processor of the security interests (or applicable equivalents thereof) in favor favour of Lender Agent, for the benefit of Agent and Lenders, created hereby or the other Loan Documents, and shall instruct such Person to hold all such Collateral for Lender's account Agent’s Account subject to Lender's Agent’s instructions.
