Baggage Inventory. All guest baggage and other guest property checked and left in the possession, care and control of Seller shall be listed in an inventory to be prepared in duplicate and signed by Seller’s and Purchaser’s representatives on the Closing Date. Purchaser shall be responsible from and after the Closing Date for all baggage (and the contents thereof) and other guest property listed in inventory. Purchaser agrees to indemnify and save and hold Seller harmless from and against any claim arising out of or with respect to the baggage listed in the inventory, and Seller agrees to indemnify and save and hold Purchaser harmless from and against any claim arising prior to the Closing Date out of or with respect to any guest baggage or other guest property not listed in the inventory.

Subject to Sections 5.4 and 5.5, the indemnities set forth in this Section 8.3(b) shall survive the Closing.

The representatives of Seller and Buyer shall prepare the inventory as of day immediately preceding the Closing Date (which inventory shall be binding on all parties thereto) of (a) all luggage, valises and trunks checked or left in the care of the Property by guests then or formerly in the Property, (b) parcels, laundry, valet packages and other property of guests checked or left in the care of the Property by guests then or formerly in the Property (excluding, however, property in the safe deposit boxes), (c) all luggage or other property of guests retained by Buyer, and (d) all items contained in the lost and found. Buyer shall be responsible from and after the Closing Date for all baggage, and other items listed in such inventory. The provisions of this Section 9.3.4 shall survive the Closing.

Buyer shall be responsible from and after the Closing Date for all baggage, and other items listed in such inventory. Seller hereby agrees to indemnify and hold Buyer harmless from and against any and all liability for claims arising prior to the Closing Date relating to such items not listed on the inventory. The provisions of this Section 7.17 shall survive the Closing.
Baggage Inventory. All guest baggage and other guest property checked and left in the possession, care and control of any Bass Party shall be listed in an inventory to be prepared in duplicate and signed by representatives of the Bass Party, FCH and its purchaser on the date of transfer. FCH's purchaser shall be responsible from and after the Date of Transfer for all baggage (and the contents thereof) and other guest property listed in inventory, FCH's purchaser shall indemnify and save and hold Bass harmless from and against any claim arising out of or with respect to the baggage listed in the inventory, and Bass agrees to indemnify and save and hold FCH's purchaser harmless from and against any claim arising prior to the transfer date out of or with respect to any guest baggage or other guest property not listed in the inventory.

Baggage Inventory. All baggage checked with or left in the possession of Seller shall be listed on an inventory to be prepared in duplicate on the Closing Date and signed by representatives of Seller and of Buyer and all books, records and keys concerning such baggage shall be delivered by Seller to Buyer at the Closing. Buyer shall be responsible for all baggage listed in such inventory on the Closing Date. Any baggage or other property of guests retained by Seller as security for unpaid account receivables may be left on the Property for a period of ninety (90) days after the Closing Date without any responsibility or liability therefor on the part of Buyer and Seller hereby agrees to indemnify, defend, exonerate and hold Buyer harmless against any claim, cost or expense in connection with such retained baggage.
Baggage Inventory. All baggage of Hotel guests who are in the Property on the date of the Closing which has been checked with or left in the care of Seller shall on the date of the Closing be tagged jointly by Seller and Buyer. Seller shall indemnify, defend and hold harmless Buyer against any claims, losses or liabilities incurred by Buyer with respect to such baggage arising out of the acts of omissions of Seller. Buyer shall indemnify, defend and hold harmless Seller against any claims, losses or liabilities incurred by Seller with respect to such baggage arising out of the acts or omissions of Buyer.
