Guest Property. The parties shall arrange for Motel guests to sign new deposit box or other appropriate receipts on the day before the Closing Date with respect to baggage, personal property, laundry, valet packages and other property of Motel guests checked or left in the care of Seller by Motel guests or tenants; and, to the extent such receipts are not obtained, such property shall be sealed, listed in an inventory prepared and signed jointly by the parties as of the Closing Date, and Purchaser shall be responsible from and after the Closing Date for all such property listed in said inventory. Seller shall be responsible for all items allegedly left at the Properties by guests prior to Closing and not listed on such inventory.
Guest Property. Property of guests of the hotel which is left in the care, possession or control of the hotel shall be inventoried on the Closing Date. Prior to the Closing Date, Seller shall be responsible for all such property. From and after the Closing Date, Purchaser shall be responsible for all such property which is identified in such inventory. This Section 14 shall survive the Closing.
Guest Property. The Parties shall arrange for guests at the Hotel to sign new deposit box or other appropriate receipts on the day before the Closing Date with respect to baggage, personal property, laundry, valet packages and other property of guests at the Hotel checked or left in the care of OwnerCo LLC, Operating Tenant or the Manager by transient hotel guests; and, to the extent such receipts are not obtained, such property shall be sealed, listed in an inventory prepared and signed jointly by the parties as of the Closing Date, and the Purchaser Parties shall be responsible from and after the Closing Date for all such property listed in said inventory. The Seller Parties shall be responsible for all items allegedly left at the Hotel by guests prior to Closing and not listed on said inventory.
Guest Property. Representatives of Seller and Buyer shall prepare an inventory as of the Cut-off Time of all baggage parcels, laundry, valet packages and other property of guests checked or left in the care of the Hotel by guests then or formerly in the Hotel (excluding property in the safe deposit boxes), as well as all items in Hotel lost and found. From and after the date of Closing, Seller shall be relieved of any and all responsibility in connection with such inventoried items of guest property, and Buyer shall Indemnify Seller from and against any and all Claims arising out of or incurred by Seller as a result of any Claim with respect to any such property. Seller shall Indemnify Buyer from and against any and all Claims arising out of or incurred by Buyer as a result of any Claim with respect to any such property which was allegedly left at the Hotel prior to such inventory but not included in such inventory.
Guest Property. With respect to each Property, property of guests of the Hotel in Seller’s care, possession or control (excluding that in guest rooms) on the Closing Date shall be handled in the following manner:
Guest Property. The Hotel shall not be liable for any loss or damage to property owned by, or in the custody of, the Client its guests, employees, agents or others. Safe deposits boxes are available for the use.
Guest Property. The University will not assume any responsibility for the damage or loss of any merchandise or articles left in the University facilities prior to, during or following a function.
Guest Property. Guests are solely responsible for their belongings whilst staying at the property and are required to take the usual steps to prevent any property loss, including locking premises and vehicles when not attended. If personal property is left behind, it is the guest’s responsibility to return it by providing HRS with a suitable prepaid satchel for its return by Australia Post or by collecting the item from one of our of- fices. We reserve the right to charge a $25 fee to collect lost property. If not claimed within 30 days, unclaimed items will be donated to charity. Guests must be respon- sible for their own property. The HRS and the owner cannot be held responsible for forces of nature which result in damages or loss to guest property.
Guest Property. All baggage or other property of guests of the Heron Beach Inn checked or left in the care of Seller shall be listed in an inventory to be prepared in duplicate and signed by Seller and Buyer on the Closing date. Buyer shall be responsible from and after the Closing date and will indemnify and hold Seller harmless from and against all claims for all baggage and property listed in such inventory. Seller shall indemnify and hold harmless Buyer from and against claims for baggage and property not listed in such inventory but shown to have been left in Seller's custody prior to the Closing Date.
Guest Property. Representatives of Seller and Purchaser shall prepare an inventory as of 12:00 noon on the Date of Closing, which inventory shall be binding on all parties hereto, of all baggage, parcels, laundry, valet packages and other property checked or left in the care of the Hotel by guests then or formerly in the Hotel (excluding property in safe deposit boxes) and all items in the Hotel lost and found. From and after the Date of Closing, Seller shall be relieved of any responsibility in connection with any and all guest property (including, without limitation, guest property in Hotel rooms), all such property shall be the responsibility of Purchaser and Purchaser shall indemnify, defend through counsel reasonably acceptable to Seller and hold harmless Seller from and against any liability, claim, cost, damage and expense (including, without limitation, attorneys’ fees and expenses) arising out of or incurred by Seller with respect to any guest property; provided, however, that Seller shall indemnify, defend, through counsel reasonably acceptable to Purchaser, and hold harmless Purchaser from and against claims of baggage and property not listed in such inventory but shown or alleged to have been left in custody at the Property prior to the Closing Date. The provisions of the two (2) immediately preceding sentences shall survive the Closing.
