BACKROUND. This Agreement amends and restates the US$2,160,000,000 facilities agreement dated 13 February 2014 (as amended on 28 March 2014) between, among others, the Company, the Guarantors and the Facility Agent (the Facilities Agreement) in order to increase the Revolving Facility Commitments by US$100,000,000 and to include the ability to issue letters of credit under the Revolving Facility.
