Common use of Background Screening Clause in Contracts

Background Screening. VENDOR shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR or its personnel providing any services under the conditions described in the previous sentence. VENDOR shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR and its personnel. The parties agree that the failure of VENDOR to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR NAF agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORNAF’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

Background Screening. VENDOR shall Close Up agrees to comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR Close Up or its personnel providing any services under the conditions described in the previous sentence. VENDOR Close Up shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Close Up and its personnel. The parties agree that the failure of VENDOR Close Up to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Close Up agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORClose Up’s failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR shall The CCJ agrees to comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR the CCJ or its personnel providing any services under the conditions described in the previous sentence. VENDOR The CCJ shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR the CCJ and its personnel. The parties agree that the failure of VENDOR the CCJ to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR To the extent permitted by law, the CCJ agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORCCJ’s failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes. VENDOR Conscious Discipline shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR Conscious Discipline or its personnel providing any services under the conditions described in the previous sentence. VENDOR Conscious Discipline shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Conscious Discipline and its personnel. The parties agree that the failure of VENDOR Conscious Discipline to perform any of the duties described in this section shall will constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Conscious Discipline agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death death, or property damage resulting from VENDORConscious Discipline’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

Background Screening. VENDOR shall HMH agrees to comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR HMH or its personnel providing any services under the conditions described in the previous sentence. VENDOR HMH shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR HMH and its personnel. The parties agree that the failure of VENDOR HMH to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR HMH agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORin HMH’s failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR shall Provider agrees to comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR Provider or its personnel providing any services under the conditions described in the previous sentence. VENDOR Provider shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Provider and its personnel. The parties agree that the failure of VENDOR Provider to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Provider agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s Provider's failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR shall EXPO agrees to comply with all requirements of Sections 1012.32 and 1012.465I 012.465, Florida Statutes, and all of its personnel who (1( l) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR EXPO or its personnel providing any services under the conditions described in the previous sentence. VENDOR EXPO shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR EXPO and its personnel. The parties agree that the failure of VENDOR EXPO to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR EXPO agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s EXPO's failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR Florida Blue shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1a) are to be permitted access to school grounds when students are present, (2b) will have direct contact with students, or (3c) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR Florida Blue or its personnel providing any services under the conditions described in the previous sentence. VENDOR Florida Blue shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Florida Blue and its personnel. The parties agree that the failure of VENDOR Florida Blue to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Florida Blue agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORFlorida Blue’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

This background screening will be conducted by SBBC in advance of VENDOR Granicus or its personnel providing any services under the conditions described in the previous sentence. VENDOR Granicus shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Granicus and its personnel. The parties agree that the failure of VENDOR Granicus to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Granicus agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s Granicus’ failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

This background screening will be conducted by SBBC in advance of VENDOR Teachtown or its personnel providing any services under the conditions described in the previous sentence. The parties agree that the failure of VENDOR Teachtown to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Teachtown agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s Teachtown failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes.

Background Screening. VENDOR BU shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR BU or its personnel providing any services under the conditions described in the previous sentence. VENDOR BU shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR BU and its personnel. The parties agree that the failure of VENDOR BU to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR BU agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORBU’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR Humane Society shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR Humane Society or its personnel providing any services under the conditions described in the previous sentence. VENDOR Humane Society shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Humane Society and its personnel. The parties agree that the failure of VENDOR Humane Society to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Humane Society agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORHumane Society’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR shall Grantee agrees to comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. The parties agree that the failure of VENDOR the City to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate this Agreement immediately with no further responsibilities or duties to perform under this Agreementhereunder. The parties agree that the failure of VENDOR PCG to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR PCG agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORPCG’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR shall KDS agrees to comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR KDS or its personnel providing any services under the conditions described in the previous sentence. VENDOR KDS shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR KDS and its personnel. The parties agree that the failure of VENDOR KDS to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR To the extent permitted by law, KDS agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORKDS’s failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes. Nothing herein shall be construed as a waiver by SBBC or KDS of sovereign immunity or of any rights or limits to liability existing under Section 768.28, Florida Statutes.

This background screening will be conducted by SBBC in advance of VENDOR SoFIA or its personnel providing any services under the conditions described in the previous sentence. VENDOR SoFIA shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR SoFIA and its personnel. The parties agree that the failure of VENDOR SoFIA to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR XxXXX agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORXxXXX’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

This background screening will be conducted by SBBC in advance of VENDOR Insert Name or its personnel providing any services under the conditions described in the previous sentence. VENDOR Insert Name shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Insert Name and its personnel. The parties agree that the failure of VENDOR Insert Name to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Insert Name agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORInsert Name’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR shall K12 Florida agrees to comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR July 1, 2011 or its personnel providing any services under the conditions described in the previous sentence. VENDOR K12 Florida shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR K12 Florida and its personnel. The parties Parties agree that the failure of VENDOR K12 Florida to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR K12 Florida agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORin K12 Florida’s failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR BIE shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR BIE or its personnel providing any services under the conditions described in the previous sentence. VENDOR BIE shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR BIE and its personnel. The parties agree that the failure of VENDOR BIE to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR BIE agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORBIE’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

This background screening will be conducted by SBBC SBSC in advance of VENDOR UNIVERSITY or its personnel providing any services under the conditions described in the previous sentence. VENDOR UNIVERSITY shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR UNIVERSITY and its personnel. The parties agree that the failure of VENDOR UNIVERSITY to perform any of the duties described in this section shall constitute a material breach of this the Agreement entitling SBBC SBSC to terminate immediately with no further responsibilities or duties to perform under this Agreement. This background screening will be conducted by SBBC in advance of VENDOR Learning A-Z or its personnel providing any services under the conditions described in the previous sentence. VENDOR Learning A-Z shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR Learning A-Z and its personnel. The parties agree that the failure of VENDOR Learning A-Z to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR Learning A-Z agrees to indemnify and hold harmless SBBC, its officers and employees from any third party liability in the form of physical or mental injury, death or property damage resulting from VENDORLearning A-Z’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

VENDOR The City shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR the City and its personnel. The parties agree that the failure of VENDOR the City to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR To the extent permitted by law, the City agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDORCity’s failure to comply with the requirements of this section Section or with Sections 1012.32 and 1012.465, Florida Statutes. Nothing herein shall be construed as a waiver by SBBC or the City of sovereign immunity or of any rights or limits to liability existing under Section 768.28, Florida Statutes.

This background screening will be conducted by SBBC in advance of VENDOR SHP or its personnel providing any services under the conditions described in the previous sentence. VENDOR SHP shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR SHP and its personnel. The parties agree that the failure of VENDOR SHP to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. This background screening will be conducted by SBBC in advance of VENDOR UNIVERSITY or its personnel providing any services under the conditions described in the previous sentence. VENDOR UNIVERSITY students shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR UNIVERSITY and its personnel. The parties agree that the failure of VENDOR UNIVERSITY to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR UNIVERSITY agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s UNIVERSITY failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.

The parties agree that the failure of VENDOR Provider to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. The parties agree that the failure of VENDOR LIA to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement.
