Common use of Award of Shares of Restricted Stock Clause in Contracts

Award of Shares of Restricted Stock. This Agreement evidences the grant by the Committee, on March 1, 2012 (the “Award Date”), to the Participant of 2,201 Shares under the Plan, subject to the restrictions, terms and conditions of this Agreement. Pursuant to Articles 2, 3, 4 and 7 below, the Shares are subject to certain transfer restrictions and possible risk of forfeiture (the “Restrictions”). While the Restrictions are in effect, the Shares subject to such restrictions shall be referred herein as “Shares of Restricted Stock.”
