Common use of Avoidance Claims Clause in Contracts

Avoidance Claims. 12.7.1. Seller shall indemnify Purchaser from any loss arising out of the assertion of any Avoidance Claim other than such claims that relate to Purchased Accounts that are owed by an Account Debtor which was Insolvent at the time the subject payment was received by Purchaser, and shall pay to Purchaser on demand the amount thereof. 12.7.2. Seller shall notify Purchaser within two business days of it becoming aware of the assertion of an Avoidance Claim. 12.7.3. This provision shall survive termination of this Agreement.
