Avoidance Claims. 10.10.1. Seller shall indemnify Purchaser from any loss arising out of the assertion of any Avoidance Claim and shall pay to Purchaser on demand the amount thereof.
Avoidance Claims. At or prior to Closing, the Debtors will discharge and/or release all Claims with respect to the Avoidance Actions and will take all actions necessary, including, without limitation, filing all motions with the Bankruptcy Court, to effectuate the foregoing.
Avoidance Claims. All avoidance claims or causes of action arising under the Bankruptcy Code or applicable state law;
Avoidance Claims. 12.7.1. Borrower shall indemnify Lender from any loss (including defense costs, expenses and legal fees) arising out of the assertion, defense, or judgment or otherwise of any Avoidance Claim, and shall pay to Lender on demand the amount thereof.
Avoidance Claims. 11.1 Client shall indemnify Meridian from any loss arising out of the assertion of any Avoidance Claim and shall pay to Meridian on demand the amount thereof.
Avoidance Claims. 14.1. Client shall indemnify Crestmark from any loss arising out of the assertion of any Avoidance Claim and shall pay to Crestmark on demand the amount thereof.
Avoidance Claims. Seller shall (i) indemnify Purchaser from any loss arising out of the assertion of any Avoidance Claim, and shall pay to Purchaser on demand the amount thereof; (ii) notify Purchaser within two business days of it becoming aware of the assertion of an Avoidance Claim. This provision shall survive termination of this ARPA.

Avoidance Claims. 12.1 Seller shall indemnify Agent and each Holder from any loss arising out of the assertion of any Avoidance Claim and shall pay to Agent, for the benefit of Holders, on demand the amount thereof.
Avoidance Claims. (a) Seller shall indemnify MBFG from any loss, cost and legal expenses arising out of the assertion of any Avoidance Claim relating to Exposed Payments.
