Avoidance Claims. 11.1 Client shall indemnify Meridian from any loss arising out of the assertion of any Avoidance Claim and shall pay to Meridian on demand the amount thereof. 11.2 Client shall notify Meridian within two Business Days of it becoming aware of the assertion of an Avoidance Claim. 11.3 This provision shall survive termination of this Agreement.
