Avoidance Claims. 12.7.1. Borrower shall indemnify Lender from any loss (including defense costs, expenses and legal fees) arising out of the assertion, defense, or judgment or otherwise of any Avoidance Claim, and shall pay to Lender on demand the amount thereof. 12.7.2. Borrower shall notify Lender within two business days after ▇▇▇▇▇▇▇▇ becomes aware of the assertion of an Avoidance Claim. 12.7.3. This provision shall survive termination of this Agreement.
