Common use of Authorization to File Clause in Contracts

Authorization to File. The Issuer authorizes the Administrator and the Indenture Trustee (but the Indenture Trustee shall not be required to do so) to file financing and continuation statements, and amendments to the statements, in the jurisdictions and with the filing offices as the Administrator or the Indenture Trustee may determine necessary or advisable to perfect the Indenture Trustee’s interest in the Collateral. The Administrator (or the Indenture Trustee solely to the extent it has elected to so prepare and file) shall timely prepare and file the foregoing and will promptly deliver to the Issuer and the Indenture Trustee file-stamped copies of, or filing receipts for, any financing statement, continuation statement and amendment to a previously filed financing statement.

The financing and continuation statements may describe the Collateral as the Administrator (or the Indenture Trustee solely may reasonably determine to perfect the extent it has elected to so prepare and file) shall timely prepare and file Indenture Trustee’s interest in the foregoing and Collateral (including describing the Collateral as “all assets” of the Issuer). The Administrator or the Indenture Trustee will promptly deliver to the Issuer and the Indenture Trustee file-stamped copies of, or filing receipts for, any financing statement, continuation statement and amendment to a previously filed financing statement.
