Authorization of the Preferred Shares. In case of conversion into the Series D Preferred Shares of the Note, immediately prior to or upon the conversion of the Note by the Lender, (a) the Company and the Founders shall take all actions necessary to authorize sufficient number of the Series D Preferred Shares, to be issued upon the conversion of such Note; (b) the Company and the Founders shall take all actions necessary to enter into and effect Series D Subscription Agreement, Shareholders’ Agreement and other transaction documents regarding Series D Financing in accordance with this Agreement.

In furtherance of the foregoing, the Company shall provide reasonable cooperation to facilitate any Transfers of the Preferred Shares, including, as is reasonable under the circumstances, by furnishing such information concerning the Company and its business as a proposed transferee may reasonably request and making management of the Company reasonably available to respond to questions of a proposed transferee in accordance with customary practice, subject in all cases to the proposed transferee agreeing to a customary confidentiality agreement.

  • Authorization of Warrant Shares The Company covenants that all Warrant Shares which may be issued upon the exercise of the purchase rights represented by this Warrant will, upon exercise of the purchase rights represented by this Warrant, be duly authorized, validly issued, fully paid and nonassessable and free from all taxes, liens and charges created by the Company in respect of the issue thereof (other than taxes in respect of any transfer occurring contemporaneously with such issue).
