The execution, delivery and performance by LTC of this Agreement and the Notes have been duly authorized by all requisite corporate action on the part of LTC, and this Agreement and the Notes constitute legal, valid and binding obligations of LTC, enforceable against LTC in accordance with their terms, except to the extent that enforceability may be limited by bankruptcy, insolvency or similar laws affecting creditors' rights generally or by general principles of equity.
