Common use of Authorization of Agreement Clause in Contracts

Authorization of Agreement. This Agreement has been duly authorized, executed and delivered by the Company, and assuming due authorization, execution and delivery of this Agreement by the Advisor and the Dealer Manager, will constitute a valid and legally binding agreement of the Company enforceable against the Company in accordance with its terms, except to the extent that the enforceability of the indemnity and/or contribution provisions contained in Section 7 of this Agreement may be limited under applicable securities laws and to the extent that the enforceability of this Agreement may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws that affect creditors’ rights generally or by equitable principles relating to the availability of remedies.

Authorization of Agreement. This Agreement has been duly authorized, executed and delivered by the CompanyAdvisor, and assuming due authorization, execution and delivery of this Agreement by the Advisor Company and the Dealer Manager, will constitute a valid and legally binding agreement of the Company Advisor enforceable against the Company Advisor in accordance with its terms, except to the extent that the enforceability of the indemnity and/or contribution provisions contained in Section 7 of this Agreement may be limited under applicable securities laws and to the extent that the enforceability of this Agreement may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws that affect creditors’ rights generally or by equitable principles relating to the availability of remedies.

Authorization of Agreement. This Agreement has been duly authorized, executed and delivered by the CompanyDealer Manager, and assuming due authorization, execution and delivery of this Agreement by the Advisor Company and the Dealer ManagerSponsor, will constitute a valid and legally binding agreement of the Company Dealer Manager enforceable against the Company Dealer Manager in accordance with its terms, except to the extent that the enforceability of the indemnity and/or contribution provisions contained in Section 7 of this Agreement may be limited under applicable securities laws and to the extent that the enforceability of this Agreement may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws that affect creditors’ rights generally or by equitable principles relating to the availability of remedies.
