Common use of Authorization; No Violation Clause in Contracts

Authorization; No Violation. The execution and delivery by Member of this Agreement and the consummation of the transactions contemplated hereby have been duly and validly authorized by all necessary action. Neither the execution and delivery of this Agreement, nor the consummation of the transactions herein contemplated, nor compliance with the provisions hereof, will conflict with or result in a breach of, or constitute a default under, (i) any of the provisions of any law, governmental rule, regulation, judgment, decree or order binding on Member or its properties, (ii) the constituent documents of Member, or (iii) any of the provisions of any indenture, mortgage, contract or other instrument to which Member is a party or by which it is bound or result in the creation or imposition of any Lien upon any of its property pursuant to the terms of any such indenture, mortgage, contract or other instrument.

Neither the execution and delivery of this Agreement, nor the consummation of the transactions herein contemplated, nor compliance with the provisions hereof, will conflict with or result in a breach of, or constitute a default under, (i) any of the provisions of any law, governmental rule, regulation, judgment, decree or order binding on Member HUD or its properties, or (ii) the constituent documents of Member, or (iii) any of the provisions of any indenture, mortgage, contract or other instrument to which Member HUD is a party or by which it is bound or result in the creation or imposition of any Lien lien, charge or encumbrance upon any of its property pursuant to the terms of any such indenture, mortgage, contract or other instrumentMortgage Loans.
