Authorization for Issuance of Stock. WISE TARGET and AMBER LINK shall have received in form and substance satisfactory to counsel for WISE TARGET and AMBER LINK a letter instructing and authorizing the Registrar and Transfer Agent for the shares of common stock of TBAY to issue stock certificates with the appropriate legend relating to the restricted nature of the shares under the Securities Act and representing ownership of TBAY common stock to WISE TARGET and AMBER LINK shareholders in accordance with the terms of this Agreement and a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. STANDARD DRILLING shall have received in form and substance satisfactory to counsel for STANDARD DRILLING a letter instructing and authorizing the Registrar and Transfer Agent for the shares of OHI Common Stock to issue stock certificates with the appropriate legend relating to the restricted nature of the shares under the Securities Act and representing ownership of OHI Common Stock to STANDARD DRILLING shareholders in accordance with the terms of this Agreement and a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. LIQTECH shall have received, in form and substance satisfactory to counsel for LIQTECH, (i) a letter instructing and authorizing the Registrar and Transfer Agent for the shares of BLUE MOOSE Common Stock to issue stock certificates with the appropriate legend relating to the restricted nature of the shares under the Securities Act and representing ownership of BLUE MOOSE Common Stock to LIQTECH shareholders in accordance with the terms of this Agreement, and (ii) a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. Banner Midstream and Ecoark shall have received in form and substance satisfactory to counsel for such parties: satisfactory evidence that the Enviro Shares have been duly authorized for issuance and have been issued in book entry form to Ecoark in accordance with the terms of this Agreement upon surrender by Ecoark of its Banner Midstream Shares duly endorsed for transfer, and a letter from said transfer agent acknowledging receipt of the letter of instruction and stating to the effect that the transfer agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. HEC shall have received in form and substance satisfactory to counsel for HEC a letter instructing and authorizing the Registrar and Transfer Agent for the shares of common stock of WGH to issue stock certificates with the appropriate legend relating to the restricted nature of the shares under the Securities Act and representing ownership of WGH common stock to HEC shareholders in accordance with the terms of this Agreement and a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. White River and Ecoark shall have received in form and substance satisfactory to counsel for such parties: satisfactory evidence that the Fortium Shares have been duly authorized for issuance (including by Fortium’s filing of the Series A Certificate) and have been issued in book entry form to Ecoark in accordance with the terms of this Agreement upon surrender by Ecoark of its White River Shares duly endorsed for transfer, and a letter from said transfer agent acknowledging receipt of the letter of instruction and stating to the effect that the transfer agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. SkyGivers shall have received in form and substance satisfactory to counsel for SkyGivers a letter instructing and authorizing the Registrar and Transfer Agent for the shares of common stock of WPET to issue stock certificates representing ownership of WPET common stock to SkyGivers shareholders in accordance with the terms of this Agreement and a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. Elegant shall have received in form and substance satisfactory to counsel for Elegant a letter instructing and authorizing the Registrar and Transfer Agent for the shares of common stock of Shaft to issue stock certificates representing ownership of Shaft common stock to Elegant shareholders in accordance with the terms of this Agreement and a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. CALIBRE shall have received in form and substance satisfactory to counsel for CALIBRE a letter instructing and authorizing the Registrar and Transfer Agent for the shares of common stock of HARDWOOD to issue stock certificates with the appropriate legend relating to the restricted nature of the shares under the Securities Act and representing ownership of HARDWOOD common stock to CALIBRE shareholders in accordance with the terms of this Agreement and a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
Authorization for Issuance of Stock. GIT shall have received in form and substance satisfactory to counsel for GIT a letter instructing and authorizing the Registrar and Transfer Agent for the shares of common stock of Rescon issue stock certificates representing ownership of 10,000,000 restricted shares of common stock of Rescon to Radical in accordance with the terms of this Agreement and a letter from said Registrar and Transfer Agent acknowledging receipt of the letter of instruction and stating to the effect that the Registrar and Transfer Agent holds adequate supplies of stock certificates necessary to comply with the letter of instruction and the terms and conditions of this Agreement.
