Common use of Authorization for Agreement Clause in Contracts

Authorization for Agreement. The execution and performance of this Agreement by Buyer has been duly authorized by all necessary actions of its Board of Directors and shareholders, and this Agreement, when executed and delivered by Buyer, will constitute the valid and binding obligation of Buyer, enforceable against Buyer according to its terms.
