Authority of Governing Board. Except as otherwise provided in this Agreement, including, without limitation, Sections 5.6, 5.9, and 6.1, the Governing Board shall exclusively manage and control the business and affairs of the Company, including making such policy, rules and regulations not inconsistent with law, with the Certificate of Formation or with this Agreement.
