Common use of Authority of Board of Managers Clause in Contracts

Authority of Board of Managers. (i) Except for situations in which the approval of the Unitholders is otherwise required (including pursuant to Section 6.7), (x) the powers of the LLC shall be exercised by or under the authority of, and the business and affairs of the LLC shall be managed under the direction of, the Board and (y) the Board may make all decisions and take all actions for the LLC not otherwise provided for in this Agreement, including the following:

(i) Except for situations in which the approval of the Common Unitholders is otherwise required (including pursuant required, subject to Section 6.7the provisions of SECTION 5.1(b)(ii), (xA) the powers of the LLC shall be exercised by or under the authority of, and the business and affairs of the LLC shall be managed under the direction of, the Board and (yB) the Board may make all decisions and take all actions for the LLC not otherwise provided for in this Agreement, including the following:

(i) Except Subject to Section 7(c), except for situations in which the approval of the Unitholders Member is otherwise required (including pursuant to Section 6.7)required, (xA) the powers of the LLC Company shall be exercised by or under the authority of, and the business and affairs of the LLC Company shall be managed under the direction of, the Board (as hereinafter defined), and (yB) the Board may make all decisions and take all actions for the LLC Company not otherwise provided for in this Agreement, including the following:

(i) Except for situations in which the approval of the Common Unitholders is otherwise required (including pursuant required, subject to the provisions of Section 6.75.1(b)(ii), (xA) the powers of the LLC shall be exercised by or under the authority of, and the business and affairs of the LLC shall be managed under the direction of, the Board and (yB) subject to the terms and conditions of the GTCR-CLC Contribution Agreement, the Board may make all decisions and take all actions for the LLC not otherwise provided for in this Agreement, including the following:
