Common use of Authority; Binding Clause in Contracts

Authority; Binding. If such Holder is a legal entity, such Holder has all requisite power and authority to enter into this Agreement, to perform fully such H▇▇▇▇▇’s obligations hereunder and to consummate the transactions contemplated hereby. If such Holder is a natural person, such Holder has the legal capacity to enter into this Agreement. If such Holder is a legal entity, this Agreement has been duly authorized, executed and delivered by such H▇▇▇▇▇. This Agreement constitutes a valid and binding obligation of such Holder enforceable in accordance with its terms, except as enforcement may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws affecting creditors’ rights generally and by principles governing the availability of equitable remedies.
