Common use of Attorneys’ Fees, Applicable Law and Venue Clause in Contracts

Attorneys’ Fees, Applicable Law and Venue. In any action to enforce the provisions of this Agreement or to secure damages for its breach, the prevailing party shall recover its costs and reasonable attorney’s fees. This Agreement shall be construed under the laws of the State of New York. Venue for any action (including arbitration) brought hereunder shall lie exclusively in New York, New York.

This Agreement and any disputes relative to the interpretation or enforcement hereto shall be governed by and construed under the laws internal laws, as opposed to the conflicts of law provisions, of the State of New York; provided however, that causes of action for violations of federal or state securities laws shall not be governed by this section. Venue for any action brought hereunder (including arbitration) brought hereunder shall lie exclusively in New York, New York.
