Assumption of Obligations of Grantor by the Lessee. Upon the purchase by the Lessee of one or more Properties pursuant to Article IX of the Participation Agreement, the Lessee may, in lieu of redemption of the Allocable Portion of the Secured Notes relating thereto pursuant to Section 2.04(d), assume all the rights and obligations of the Lessor under the Allocable Portion of the Secured Notes, in accordance with this Section 23.01 and the provisions of Section 10.1 of the Participation Agreement. Any such assumptions shall take place on the date that the Lessee purchases such Properties (such date being referred to hereinafter as the "Assumption Date").   • Assumption of Obligations Any buyer or transferee of Lessor's interest in this Lease, whether such transfer is by agreement or by operation of law, shall be deemed to have assumed Lessor's obligation under this Paragraph 15. Each Broker shall be an intended third party beneficiary of the provisions of Paragraph 1.10 and of this Paragraph 15 to the extent of its interest in any commission arising from this Lease and may enforce that right directly against Lessor and its successors.
