Common use of ASSIGNMENTS AND SUBCONTRACTING Clause in Contracts

ASSIGNMENTS AND SUBCONTRACTING. No part of this Agreement or any Purchase Order or any payments to be made by Buyer may be assigned, delegated or subcontracted without prior written approval of Buyer, which may be granted or withheld in Buyer’s sole and absolute discretion. Such approval will not relieve Seller of any of its obligations under this contract, or otherwise, and Seller will remain fully responsible for compliance with all the terms and conditions of the applicable Purchase Order and this Agreement.
