Assignment/Subcontracts. This Agreement may not be assigned by Customer without the express prior written consent of ACT. No permitted assignment shall relieve Customer hereto of its obligations prior to the assignment.

Assignment/Subcontracts. This Agreement may not be assigned by Customer without the express prior written consent of ACT. This Agreement shall be binding upon Customer’s permitted successors and assigns. ACT may subcontract all or part of its obligations under this Agreement provided that ACT shall remain responsible for any such subcontractor’s performance.
