ASSIGNMENT OR SUBCONTRACT. The Council shall not assign or subcontract its obligations under this Agreement to any third parties unless the City shall have first approved the subcontractors and the material terms of any subcontracts. The City retains the right to disapprove any such third-party contracts. Any attempt by the Council to transfer, assign, or subcontract any interest in this Agreement without the City’s prior written consent will be of no effect whatsoever. Consent to any subcontract or assignment does not relieve the Council of its primary responsibility for performance under this Agreement.
