ASSIGNMENT OR SUBCONTRACT. This Agreement shall not be assigned, nor shall any use or access provided under this Agreement be subcontracted, co-opted, or allowed to any other person without the written consent of the Trustee.
ASSIGNMENT OR SUBCONTRACT. 4.1 It is specifically understood and agreed that this contract agreement or any part thereof shall not be assigned in any manner whatsoever without the express, prior and written consent of the County.

ASSIGNMENT OR SUBCONTRACT. This AGREEMENT shall not be assigned, nor shall any use or access provided under this AGREEMENT be subcontracted or allowed to any person other than the parties and their employees.

ASSIGNMENT OR SUBCONTRACT a) The Contractor shall not subsequently assign this Contract without written consent of the Century City Redevelopment Corporation (CCRC) having first been obtained. The Contractor assumes full liability for all acts and omissions of any subcontractor or of anyone employed directly by either said contractor or subcontractor, and this liability shall be in addition to any other legal liability of the contractor. Neither the approval nor the endorsement of the CCRC nor anything contained in the Contract documents shall be construed as creating any contractual relationship between any subcontractor and this CCRC. Subcontractors must provide a certificate of insurance to the CCRC with the same provisions as prime contractor.
ASSIGNMENT OR SUBCONTRACT. The Council shall not assign or subcontract its obligations under this Agreement to any third parties unless the City shall have first approved the subcontractors and the material terms of any subcontracts. The City retains the right to disapprove any such third-party contracts. Any attempt by the Council to transfer, assign, or subcontract any interest in this Agreement without the City’s prior written consent will be of no effect whatsoever. Consent to any subcontract or assignment does not relieve the Council of its primary responsibility for performance under this Agreement.
ASSIGNMENT OR SUBCONTRACT. Neither party may assign, subcontract or transfer any right, duty or obligation under this Agreement without the prior written consent of the other party. Notwithstanding the foregoing, Client hereby consents to PFS assigning or subcontracting this Agreement in whole or in part to a parent, subsidiary, affiliate or other entity that is under common control (each a “PFS Affiliate”). The terms, conditions and obligations of this Agreement shall inure to the benefit of and be binding upon the Parties hereto and the respective successors and assigns thereof.
