Common use of ASSIGNMENT LIMITATION Clause in Contracts

ASSIGNMENT LIMITATION. This Contract shall be binding upon and inure to the benefit of the parties and their successors and assigns; provided, however, that neither party shall assign its obligations hereunder without the prior written consent of the other, except that Contractor may assign this Contract to a successor in interest in all its business upon prior written notice to MPS, provided that such successor ratifies and assumes this Contract in its entirety.

Notwithstanding the foregoing, except that Contractor may assign this Contract to a successor in interest in all its business may, upon prior prompt written notice to MPS but without MPS’ consent, provided that such successor ratifies assign all of Contractor’s rights and assumes obligations under this Contract in connection with a merger, reorganization, sale or transfer of substantially all of the capital stock or assets of Contractor or its entiretyapplicable operating division.
