Assignment; Contractors Clause Samples
The "Assignment; Contractors" clause governs the ability of parties to transfer their rights or obligations under the agreement to third parties and addresses the use of contractors to fulfill contractual duties. Typically, this clause restricts one or both parties from assigning the contract or delegating performance to subcontractors without prior written consent from the other party. For example, a company may be prohibited from hiring a third-party contractor to perform services unless the other party agrees. Assignment; Contractors. You may not assign the Contract, these Terms of Services, or any Addenda or any of your rights thereunder to any person. Any such assignment will be void. You acknowledge that we may use contractors or subcontractors to perform the Services. We acknowledge that use of contractors or subcontractors to perform the Services does not relieve us of our obligation to provide the Services.
Assignment; Contractors. 31.1 This Agreement shall inure to the benefit of, and be binding upon, any successor to all or substantially all of the business and assets of each party, whether by merger, sale of assets, or other agreements or operation of law. Except as provided above, neither party shall assign this Agreement without the non-assigning party's prior written consent, which shall not be unreasonably withheld or delayed. Any attempted assignment in contravention of this Section shall be void and ineffective.
31.2 DMI may retain an independent contractor or other third party to serve as its Internet Data Center so long as such independent contractor or third party is contractually bound to protect Confidential Information. The appointment of independent contractors or third parties to serve as DMI’s Internet Data Center to perform part or all of the TCP Services obligations hereunder shall not relieve DMI of any liability under this Agreement.

Ordering Activity may not allow any person to use the Platform other than: (i) Ordering Activity’s employees and individual contractors acting under Ordering Activity’s direct supervision, and (ii) the personnel of outsourcers who are performing an internal business function for Ordering Activity and on the condition that the outsourcer has expressly agreed that its use of the Platform is subject to this ▇▇▇▇. Ordering Activity remains responsible for Ordering Activity’s contractors and outsourcers’ use of the Platform in violation of the terms of this ▇▇▇▇. Infocyte may use subcontractors to perform its obligations under this ▇▇▇▇.

The warranties stated above are for your benefit only, notwithstanding Zenoss consent to an assignment or sublicense. You may not allow any person to use the Software other than: (i) your employees and individual contractors acting under your direct supervision, and (ii) the personnel of outsourcers who are performing an internal business function for you and on the condition that the outsourcer has expressly agreed that its use of the Software is subject to this ▇▇▇▇.
