Common use of Assignment by the Depositor or the Servicer Clause in Contracts

Assignment by the Depositor or the Servicer. Except as provided in Sections 6.4, 6.6 and 7.2, this Agreement may not be assigned by the Depositor or the Servicer without the prior consent of the Owner Trustee, the Indenture Trustee, the holder of the Residual Interest and the Noteholders of at least 66-2/3% of the Note Balance of the Notes.

Assignment by the Depositor or the Servicer. Except as provided in Sections 6.4, 6.6 and 7.2, this Agreement may not be assigned by the Depositor or the Servicer without the prior consent of the Owner Trustee, the Indenture Trustee, the holder of the Residual Interest and the Noteholders of at least 66-2/3% of the Note Balance of the NotesNotes Outstanding.

Except Notwithstanding anything to the contrary contained herein, except as provided in Sections 6.4, 6.6 Section 7.04 herein and 7.2as provided in the provisions of this Agreement concerning the resignation of the Servicer, this Agreement may not be assigned by the Depositor or the Servicer without the prior written consent of the Owner Trustee, the Indenture Trustee, the holder Owner Trustee and Holders of the Residual Interest and the Noteholders of Notes evidencing at least 66-66 2/3% of the Note Balance of the NotesControlling Class.
