Assignment by MCO Sample Clauses

The 'Assignment by MCO' clause defines the conditions under which the Managed Care Organization (MCO) may transfer its rights or obligations under the agreement to another party. Typically, this clause outlines whether the MCO needs the other party's consent before assigning the contract, and may specify exceptions such as assignments to affiliates or in connection with a merger or sale of the business. Its core function is to provide clarity and control over changes in contractual relationships, ensuring that all parties are aware of and agree to any significant shifts in responsibility or benefit under the agreement.
Assignment by MCO. MCO must not assign all or any portion of its rights under or interests in the Contract or delegate any of its duties without prior written consent of HHSC. Any written request for assignment or delegation must be accompanied by written acceptance of the assignment or delegation by the assignee or delegation by the delegate. Except where otherwise agreed in writing by HHSC, assignment or delegation will not release MCO from its obligations pursuant to the Contract. An HHSC-approved Material Subcontract will not be considered to be an assignment or delegation for purposes of this section.
