Assignment by Corporation. Subject to the State's and the Government Parties' prior written consent, which may not be unreasonably withheld or delayed, the Corporation may assign the whole of its rights, titles and interests under this GSHA provided: (a) the Corporation gives the State and the Government Parties at least 20 Business Days' notice prior to the proposed assignment; (b) within 20 Business Days after giving the State and Government Parties the notice referred to in clause 22.2(a), the proposed new corporation enters into a deed, in a form acceptable to the State and the Government Parties (each acting reasonably), by which it agrees to be bound by this GSHA and to assume all of the Corporation's obligations under this GSHA, and provides a copy of that deed to the State and Government Parties; and (c) the Corporation does all other things necessary to give effect to the assumption by the new corporation of the obligations under this GSHA.
