Assignment by Agency Clause Samples
The "Assignment by Agency" clause defines the conditions under which an agency may transfer its rights or obligations under a contract to another party. Typically, this clause restricts or permits the agency to assign its contractual interests, often requiring the consent of the other contracting party before any assignment can take place. For example, if an agency wishes to delegate its services or transfer its payment rights to a third party, this clause would govern whether and how that can occur. Assignment by Agency. Agency may assign or transfer any of its rights or obligations under this Agreement with the approval of Developer, which approval shall not be unreasonably withheld; provided, however, that Agency may assign or transfer any of its interests hereunder to the City or any public or private entity controlled by either Agency or the City at any time without the consent of Developer.
