ASSIGNMENT AND SUB-CONTRACTING. 24.1 The Purchaser may assign the Contract or anypart thereof to any Affiliates upon written notice to the Supplier. Under no circumstances may Supplier transfer, assign or delegate, in wholeorinpart, anyofitsrightsorobligationsunderthe Contract(including, withoutlimitation, any right of payment), whether directly or indirectly, nor by merger, acquisition or contribution to a joint venture, or otherwise without Purchaser's prior written consent.
