Assignment and Offset Rights. Assignment of customer claims are not permitted unless explicitly approved by voestalpine, which shall not be unreasonably with- held. In the course of offset proceedings, claims against voestal- pine shall not be valid unless they are legally established or un- contested by voestalpine. The customer shall not be entitled to any counter-claims or offset rights arising from business relations with other companies affiliated with voestalpine.
