Assignment and Offset Rights. Assignment of customer claims are not permitted unless explicitly approved by Regosteel, which shall not be unreasonably with- held. In the course of offset proceedings, claims against Regosteel shall not be valid unless they are legally established or un-contested by Regosteel. The customer shall not be entitled to any counter-claims or offset rights arising from business relations with other companies affiliated with Regosteel.
