Assigning Party. Notwithstanding the foregoing, either Party may assign this Agreement to an Affiliate, provided that such Party shall guarantee the performance of such Affiliate, and provided further that either Party may assign its rights (but not its obligations) pursuant to this Agreement in whole or in part to an Affiliate of such Party that is controlled by such Party.
Assigning Party. If, prior to the Completion Date, a Party (in this section called the "Assigning Party") has its Interest reduced to ten percent (10%) or less as a result of the operation of section "17.4" herein, the Assigning Party shall be deemed to have assigned and conveyed, by way of gift, its Interest to the Participants, if more than one then in proportion to their respective Interests. Thereupon, the Assigning Party shall cease to have any further right or Interest under this Agreement.
