Common use of Assignability and Parties in Interest Clause in Contracts

Assignability and Parties in Interest. This Agreement and any of the rights, interests or obligations hereunder may not be assigned by any of the parties hereto, except through operation of law and that Buyer may assign its rights and obligations under this Agreement in whole or in part to any Affiliate or Affiliates of Buyer or any successor to all or substantially all of the business or assets of Buyer. This Agreement shall inure to the benefit of and be binding upon Buyer, Seller and the Shareholder and their respective permitted successors and assigns. Nothing in this Agreement will confer upon any person or entity not a party to this Agreement, or the legal representatives of such person or entity, any rights or remedies of any nature or kind whatsoever under or by reason of this Agreement.

This Agreement and any of the rights, interests or obligations hereunder may not be assigned by any of the parties heretoParties hereto without the prior written consent of the other Parties hereto and the consent of the Administrative Lender; provided, except through operation of law and however, that Buyer the Company may assign its rights and obligations under this Agreement in whole or in part to any Affiliate or Affiliates of Buyer or any successor to all or substantially all the Collateral Agent as collateral security for the obligations of the business or assets of BuyerCompany under the Credit Agreement. This Agreement shall inure to the benefit of and be binding upon Buyer, Seller MLP and the Shareholder Company and their respective permitted successors and permitted assigns. Nothing Except as otherwise provided in this Agreement, nothing in this Agreement will confer upon any person or entity not a party to this Agreement, or the legal representatives of such person or entity, any rights or remedies of any nature or kind whatsoever under or by reason of this Agreement.

Nothing in this Agreement will confer upon any person or entity not a party to this Agreement, or the legal representatives of such person or entity, any rights or remedies of any nature or kind whatsoever under or by reason of this Agreement.
