Common use of Assets Transferred Clause in Contracts

Assets Transferred. On the terms and subject to the conditions set forth in this Agreement, Seller will sell, transfer, convey, assign and deliver to Purchaser, and Purchaser will purchase, at the Closing, all of Seller’s right, title and interest in, to and under the following assets and properties of Seller used or held for use in connection with the Business, except as otherwise provided in Section 1.2, as the same shall exist on the Closing Date (collectively, the “Assets”):

Assets Transferred. On the terms and subject to the conditions set forth in this Agreement, the Seller will sell, transfer, convey, assign and deliver to the Purchaser, and the Purchaser will purchase, at the Closing, all of Seller’s right, title and interest in, to and under the following assets and properties of Seller used or held for use in connection with the Business, except as otherwise provided in Section 1.2, as the same shall exist on the Closing Date (collectivelyas defined in Section 2.1), the “Assets”):Transferred Interests, as more specifically described in Exhibit B.
