Aspect Responsibilities. (a) Aspect shall develop the HP BIS Engine, the DSC Cable and the Module Cable according to the mutually agreed specifications at Aspect's own cost. (c) Aspect shall make available the BIS Protocol specification to HP for implementation into the HP BIS Module or otherwise into HP Patient Monitors. (d) Aspect will undertake reasonable efforts to maintain backward compatibility for future versions of the BIS Protocol, however no guarantee is given. (e) Aspect will inform HP of future changes to the BIS Protocol as early as possible and make available such changed BIS Protocol specification to HP. The Change Notification Agreement Form (attached as Exhibit D) will be used for this purpose. Notwithstanding anything to the contrary in the Change Notification Agreement Form, HP shall not withhold its approval of any future changes to the BIS Protocol as provided in Section 3.7 (d).

Aspect Responsibilities. (a) Aspect, with assistance from Draeger, will incorporate the Pod-Com interface hardware directly into the BISx and will provide a Pod-Com Connector (receptacle) on the BISx unit itself. (b) Aspect shall design, develop and test the BISx System according to the mutually agreed upon specifications. (c) Upon NK completing the integration of BIS into the NK Patient Monitoring Systems (or any subsequent new NK Patient Monitoring System which is BIS Ready), Aspect will “certify” this integration. This entails Aspect verifying the accurate display on the NK Patient Monitor. Once successfully verified, Aspect will provide NK with a Certification Letter so indicating. To facilitate the certification process, NK will lend Aspect a NK Patient Monitor for testing purposes. Said NK Patient Monitor (and any new NK BIS Ready Patient Monitor) will be provided to Aspect, at NK’s cost and expense, within thirty (30) days after execution of this Agreement, and it will be returned to NK, at Aspect’s cost and expense, within thirty (30) days after the certification process is completed.

Aspect shall return such items to Spacelabs within thirty (30) days of receipt of written request for return from Spacelabs.
