Common use of Articles and By-Laws Clause in Contracts

Articles and By-Laws. The copies of the Articles of Incorporation and all amendments thereto of the Buyer, as certified by the Secretary of the Buyer and of the By-Laws, as amended to the date hereof, of the Buyer, as certified by its Secretary, which have heretofore been delivered to Seller are complete and correct copies of the Articles of Incorporation and By-Laws of the Buyer as amended and in effect on the date of the Closing. All minutes of the Buyer are contained in minute books of the Buyer heretofore furnished to Seller for examination and are being delivered to Seller at the Closing, and no minutes have been included in such minute books since such examination by the Seller that have not also been furnished to Seller.

Articles and By-Laws. The copies of the Articles of Incorporation and all amendments thereto of the BuyerCompany, as certified by the Secretary of the Buyer Company and of the By-Laws, as amended to the date hereof, of the BuyerCompany, as certified by its Secretary, which have heretofore been delivered to Seller Buyer are complete and correct copies of the Articles of Incorporation and By-Laws of the Buyer Company as amended and in effect on the date of the Closing. All minutes of the Buyer Company are contained in minute books of the Buyer Company heretofore furnished to Seller Buyer for examination and are being delivered to Seller Buyer at the Closing, and no minutes have been included in such minute books since such examination by the Seller Buyer that have not also been furnished to SellerBuyer.
