Arena. The term “Arena” means that certain Building Improvement listed on the Site Plan as No. 2 and as more fully described in the Kino District Arena section of the Business Plan.

With respect to any claim alleging that (i) the discovery or development prior to the Original Effective Date of any Compound or Product, or (ii) any activity by Arena or its Affiliates prior to the Effective Date outside the Territory (as it existed under the Existing Agreement), infringes or may infringe the intellectual property rights of any Third Party, in each case ((i) - (ii)) Arena shall have the sole right, subject to Section 12.7, to control any defense of any such claims at its own expense (including outside counsel fees and all amounts payable by Arena as a judgment based on such claim or in settlement of such claim) and by counsel of its own choice.

Arena-Actor-Institution (A2I) approach The identified actors of REDD+ are service providers, local government, buyers, Designated National Authority (DNA), national government, and international supervisory bodies. The service providers develop environmental services (ES) i.e. emission reduction and sell them. They can be individuals, local communities, NGOs, private companies and/or local government. The local government can act as a facilitator for ES development. Some NGOs or private companies may act as brokers between sellers and buyers of ES. A verification body is an independent third party responsible for verifying the ES. The DNA that works at the national level provides approval of ES development and credit. The national government provides policy and measure for developing ES, while international supervisory bodies, such as the UNFCC secretariat, provide guidance on REDD+ trade. Effectiveness refers to the magnitude of the emission reduction so-called ’carbon effectiveness’. Efficiency refers to whether the given emission reduction is achieved at a minimum cost. While equity refers to fair distribution of benefits between and within countries and the effects of REDD+ activities on local communities (Angelsen et al. 2008)
Arena. The Arena will include all or a portion of the Minimum Target User Office Space (as defined in Section 3 of Attachment B) and may include other office space (either general use or for additional Target Users as defined in Section 2 of Attachment B) food & beverage/restaurant uses, retail uses, as well as other uses consistent with the adopted Lake ▇▇▇▇▇▇▇ Station Area Plan and related zoning. The Arena may include a large anchor office or retail tenant and may include smaller retail along the north (Lake ▇▇▇▇▇▇▇-facing) side of the Arena. The Developer will comply with the leasing requirements for the Minimum Target User Office Space regarding leasing to Target User tenants as described in the HJK Community Benefits term sheet attached hereto as Attachment A. The LDDA / Lease (as defined in Section 2) will identify certain uses that will require prior review and approval by City staff in their sole discretion. These uses will include, but not be limited to, fast food and discount store uses.
