Common use of APU Clause in Contracts

APU. If the APU undergoes "off the fuselage" maintenance (as hereinafter defined) pursuant to Lessee's Maintenance Program performed by an Approved Maintenance Performer approved by Lessor, subject to the last sentence of this clause (D), Lessor will reimburse Lessee, from the APU Payments paid to Lessor by Lessee as of the date such maintenance is completed, for the actual cost incurred by Lessee for such off the fuselage maintenance. "Off the fuselage" maintenance of the APU means any heavy maintenance of the APU performed by an Approved Maintenance Performer during a shop visit that requires teardown/disassembly, to the extent the same results in performance restoration; provided, however, such maintenance will not include the cost of removal, shipment or re-installation of the APU or any maintenance of components associated with an installed auxiliary power unit. Lessor will make such APU Payments available to Lessee for the cost of off the fuselage maintenance of the removed APU: (x) when Lessee reinstalls such APU in the Airframe following such maintenance or (y) when Lessee replaces such APU with an auxiliary power unit that meets all requirements of this Lease, including Article 6 hereof (determined immediately after such off the fuselage maintenance of the removed APU and on the assumption that the removed APU had been reinstalled in the Airframe).

If the APU undergoes "off the fuselage" maintenance a heavy repair shop visit (as hereinafter defineddefined by the APU manufacturer) pursuant to Lessee's the Maintenance Program performed by an Approved Maintenance Performer approved by LessorProgram, subject to the last penultimate sentence of this clause (Dv), Lessor will reimburse Lessee, from pay Lessee the APU Payments referred to in paragraph 9(v) of Schedule “1” hereto. Any cost in excess of such amount to be paid to by Lessor by Lessee as of the date such maintenance is completed, for the actual cost incurred by Lessee for such off the fuselage maintenance. "Off the fuselage" maintenance of the APU means any heavy maintenance of the APU performed by an Approved Maintenance Performer during a shop visit that requires teardown/disassembly, pursuant to the extent the same results in performance restoration; provided, however, such maintenance will not include the cost of removal, shipment or re-installation of the APU or any maintenance of components associated with an installed auxiliary power unitpreceding sentence shall be Lessee’s sole responsibility and shall be promptly paid by Lessee. Lessor will make such pay the APU Payments available to Lessee for the cost of off the fuselage maintenance heavy repair shop visit of the removed APU: (x) when Lessee reinstalls such APU in the Airframe following such maintenance shop visit or (y) when *** Material has been omitted pursuant to a request for confidential treatment and filed separately with the SEC Lessee replaces such APU with an auxiliary power unit fresh from a heavy repair shop visit that meets all requirements of this Lease, including Article 6 hereof (determined immediately after such off the fuselage maintenance of giving effect to a heavy repair shop visit for the removed APU and on the assumption that the removed APU had been reinstalled in the Airframe). Lessee agrees to provide Lessor with a copy of the warranties for the heavy repair shop visit of the APU for approval by Lessor (which warranties shall expressly be assignable to Lessor), which approval will not be unreasonably withheld.
