Approved Payees Sample Clauses

Approved Payees. A Closing Agent shall be an Approved Payee with respect to any such Purchase Price; provided, that Administrative Agent, on behalf of Buyers, may refuse to approve any Person as an Approved Payee and may, at any time, withdraw its approval of any Closing Agent as an Approved Payee if Administrative Agent becomes aware of any facts or circumstances at any time related to such Closing Agent which Administrative Agent, on behalf of Buyers, determines materially and adversely affects the Closing Agent or otherwise makes the Closing Agent unacceptable as an Approved Payee. Administrative Agent, on behalf of Buyers, shall promptly notify Seller of any withdrawal of approval of an Approved Payee. ​
