Common use of Approvals Clause in Contracts

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person the Borrower is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party party, other than the Agency, is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and Agreement, the other Loan Documents to which such Person is or may become a party or the Intercreditor Agreement to the extent such Person is party thereto or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party (other than filings and registrations to perfect Liens) is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Loan Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, approval, authorization or consent ofapproval or other action by, and no notice to or filing or registration with, any Governmental Authority or any other third party is or will be necessary required for the due execution, delivery, or delivery and performance by Borrower or any other Obligated Loan Party of this Agreement and the other any Loan Documents Document to which such Person it is or may become to be a party party, the borrowing of the Loans, the use of the proceeds thereof or the validity or enforceability thereofissuance of Letters of Credit hereunder.

No authorization, approval, approval or consent of, and no filing or registration with, any Governmental Authority court, governmental authority or third party is or will be necessary for the execution, delivery, delivery or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party and its Subsidiaries of this Agreement and the other Loan Documents to which such Person is the Borrower and its Subsidiaries are or may become a party or the validity or enforceability thereof, except for filings and recordings in respect of the Liens created pursuant to Loan Documents and appropriate filings with the SEC.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof.

No authorization, approval, approval or consent of, and no filing or registration with, any Governmental Authority or other third party is or will be necessary for the execution, delivery, delivery or performance by the Borrower or any other Obligated Party Subsidiary of this Agreement and the other Borrower of the Loan Documents to which such Person it is or may become a party party, except where the failure to obtain any such authorization, approval or consent could not reasonably be expected to have a Material Adverse Effect, or for the validity or enforceability thereof.

No o authorization, approval, approval or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, delivery or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof, except for the filing and recording of financing statements and other documents necessary in order to perfect the Liens created by the Security Agreement entered into in connection herewith.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by either Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person it is or may become a party or for the validity or enforceability thereofthereof except for such approvals or consents which have been obtained or made and disclosed on Schedule 1.2 to the Security Agreement.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Loan Party and Parent Guarantor of this Agreement and the other Loan Documents to which such Person Loan Party or Parent Guarantor is or may become a party or the validity or enforceability thereofthereof other than the recording and filing of the Security Documents and financing statements in connection therewith.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Guarantor of this Agreement and the other Loan Documents to which the Borrower or such Person Guarantor, respectively, is or may become a party or the validity or enforceability thereof, except for filings contemplated by Sections 7.1(i) and 7.1(j) hereof.

No authorization, approval, approval or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, delivery or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof, except for the filing and recording of financing statements and other documents necessary in order to perfect the Liens created by the Security Agreement entered into in connection herewith.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Guarantor of this Agreement and the other Loan Documents to which the Borrower or such Person Guarantor, respectively, is or may become a party or for the validity or enforceability thereofthereof except where the failure to obtain such authorization, approval or consent would not have a material adverse effect on the Borrower and its Subsidiaries taken as a whole.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority court, governmental authority, or third party is or will be necessary for the execution, delivery, or performance by any Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person any Borrower is or may become a party or Parent, ECH or Horizon-Cayman of the Loan Documents to which any such Person is a party, or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Loan Party of this Agreement and the other Loan Documents to which such Person any Loan Party is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or of any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a they are party or for the validity or enforceability thereof.

No authorization, approval, authorization or consent ofapproval or other action by, and no notice to or filing or registration with, any Governmental Authority or any other third party is or will be necessary required for the due execution, delivery, or delivery and performance by Parent and the Borrower of this Agreement or any other Obligated Party Loan Document to which Parent or the Borrower is to be a party, the borrowing of this Agreement the Loans, the use of the proceeds thereof and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereofissuance of Letters of Credit hereunder.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or for the validity or enforceability thereof. Without limiting the generality of the forgoing, no authorization, approval, or consent of, and no filing or registration with, any Insurance Regulatory Authority is required for the pledge of the Capital Stock of Mid-West by the Borrower.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority court, governmental authority, or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement the Loan Documents, Administrative Management Agreements and the other Loan Documents ER Management Contracts to which such Person it is or may become a party or for the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party party, except those which have been made or obtained, is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

Approvals. No Except as set forth on Schedule 6.8, no authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party Borrowers of this Agreement and the other Loan Documents to which such Person each Borrower is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority court, governmental authority, or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party Borrowers of this Agreement and the other Loan Documents to which such Person is Borrowers are or may become a party or the validity or enforceability thereof.

Approvals. No Other than filings to be made on or around the Closing Date, no authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority court, governmental authority, or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party Guarantor of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereofthereof or if required any such authorization, approval, or consent shall have been obtained by Borrower or Guarantor prior to the execution and delivery of the Loan Document to which such authorization, approval, or consent is applicable).

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party the Companies of this Agreement and the other respective Loan Documents to which such Person is they are or may become a party or for the validity or enforceability thereof.

No authorization, approval, or consent ofof that has not been obtained, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement Agreement, and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof, except where the failure to obtain, file or register would not have a material adverse effect on Borrower.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or other third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Guarantor of this Agreement and the other Loan Documents to which such Person it is or may become a party or for the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or other third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Subsidiary of this Agreement and the other Borrower of the Loan Documents to which such Person it is or may become a party party, except where the failure to obtain any such authorization, approval or consent could not reasonably be expected to have a Material Adverse Effect, or for the validity or enforceability thereof.

Approvals. No authorization, approval, approval or consent of, and no --------- filing or registration with, any Governmental Authority court, governmental authority or third party is or will be necessary for the execution, delivery, delivery or performance by Borrower the Borrower, any Property Subsidiary or any other Obligated Party General Partner of this Agreement Agreement, the Assigned Agreements and the other Loan Documents to which such Person the Borrower, any Property Subsidiary or any General Partner is or may become a party or for the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party (other than from the applicable Agency) is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by any Borrower or any other Obligated Party of this Agreement, the Notes, the Security Agreement and the other Loan Documents to which such Person Borrower is or may become a party or for the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Beneficient Party of this Agreement and the other any Loan Documents Document to which such Person Beneficient Party is or may become a party or the validity or enforceability thereofthereof other than the recording and filing of the Security Documents and financing statements in connection therewith and any authorizations, approvals or consents that have been obtained.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Significant Subsidiary of this Agreement and the other Loan Documents to which such Person each is or may become a party or for the validity or enforceability thereofthereof except for such authorizations, approvals, consents, filings and registrations the failure to obtain or make could not be reasonably expected to have a Material Adverse Effect.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by either Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person it is or may become a party or for the validity or enforceability thereofthereof except for such approvals or consents which have been obtained or made and disclosed in writing to the Banks.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by such Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any court, Governmental Authority Authority, or third party is or will be necessary for the execution, delivery, or performance by either Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person either Borrower is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, delivery or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, approval, approval or consent of, and no filing or registration with, any Governmental Authority or third other third-party is or will be necessary for the execution, delivery, delivery or performance by the Borrower or any other Obligated Party Subsidiary of this Agreement and the other Borrower of the Loan Documents to which such Person it is or may become a party party, except where the failure to obtain any such authorization, approval or consent could not reasonably be expected to have a Material Adverse Effect, or for the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Transaction Documents to which such Person the Borrower is or may become a party or for the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person the Borrower or Subsidiary is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, -------------------- --------- approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and by the Borrower or any Guarantor of the other Loan Documents to which the Borrower or such Person Guarantor, as applicable, is or may become a party or for the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Loan Party of this Agreement and the other Loan Documents to which Borrower or such Person Loan Party is or may become a party or the validity or enforceability thereof.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority court, governmental authority, or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof.. Section 6.9

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party the Borrowers and their Subsidiaries of this Agreement and the other Loan Documents to which such Person is Borrower and its Subsidiaries are or may become a party or the validity or enforceability thereof, except for filings and recordings in respect of the Liens created pursuant to Loan Documents and appropriate filings with the SEC.

Approvals. No Other than filings with the Securities and Exchange Commission, no authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.
