Appointment of Paying Agent; Acceptance of Appointment. The Trust hereby appoints the Paying Agent, and the Paying Agent hereby accepts such appointment, to provide the services enumerated in this Agreement. The Paying Agent agrees to act in accordance with its standard procedures and the written instructions of the Administrator and the provisions set forth in this Article II as Paying Agent with respect to the Securities. Without limiting the generality of the foregoing, ChaseMellon Shareholder Services, L.L.C., as Paying Agent, agrees that it shall establish and maintain the Trust Account as provided in the Trust Agreement, subject to the provisions of Section 2.3.
