(a) The Adviser hereby appoints Subadviser, subject to the direction and control of the Board, to manage the investment and reinvestment of Allocated Assets to provide other services as specified herein. The Subadviser accepts this appointment and agrees to render its services for the compensation set forth herein.

(a) The Adviser Advisor hereby appoints Subadviseremploys Subadvisor, subject to the direction and control of the Board, to manage the investment and reinvestment of Allocated Assets the assets in the Fund and, without limiting the generality of the foregoing, to provide other services as specified herein. The Subadviser Subadvisor accepts this appointment employment and agrees to render its services for the compensation set forth herein.

(a) The Adviser hereby appoints Subadviserthe Sub-Adviser, subject to the direction and control of the Board, to manage the investment and reinvestment of Allocated Assets the assets of all or a portion of each Fund allocated by the Adviser to the Sub-Adviser from time to time and, without limiting the generality of the foregoing, to provide other services as specified herein. The Subadviser Sub-Adviser accepts this appointment and agrees to render its services for the compensation set forth herein.

(a) The Adviser hereby appoints SubadviserSub-Adviser, subject to the direction and control of the the Adviser and the oversight of the Board, to manage the investment and reinvestment of Allocated Assets and to provide other services as specified herein. The Subadviser Sub-Adviser accepts this appointment and agrees to render its services for the compensation set forth herein.

APPOINTMENT; DELIVERY OF DOCUMENTS. (a) The Adviser hereby appoints Subadviserthe Sub-Adviser, and the Sub-Adviser hereby accepts such appointment, to serve as sub-adviser to the Fund. The Sub-Adviser shall, subject to the direction oversight of and control of review by the Adviser and, as applicable, the Board, to manage the investment and reinvestment of Allocated Assets to the assets of the Fund and, without limiting the generality of the foregoing, provide other services as specified herein. The Subadviser accepts this appointment and agrees to render its services for the compensation set forth herein.
