A&P. A&P shall defend, indemnify and hold harmless C&S and its Affiliates, and their respective employees, servants, agents, successors and assigns from any and all Losses arising out of or related to any third party claim in connection with or resulting from (i) A&P’s acts, omissions or negligence related to this Agreement; (ii) A&P’s failure to comply with any applicable laws related to Merchandise procured, handled, packaged, used, possessed, transported or stored by A&P; or (iii) acts, omissions or negligence of any Affiliate of A&P or any third party hired by A&P or its Affiliates in connection with this Agreement; provided, however, this indemnification and hold harmless with respect to sub-sections (i)-(iii) shall not apply to the extent of any claims arising out of or resulting from the negligence or willful misconduct of C&S, its Affiliates or their respective employees, representatives or agents. Whenever C&S receives notice of a claim or demand that would be covered by this provision, C&S shall in turn provide A&P with prompt written notice of such claim or demand.
A&P. Maps The same as Weed Abatement Maps. A.P. is defined as "Assessor's Parcel." A.P Maps will be used as the official measurement of the parcel.
A&P. This is an ACH payments solution in which Suppliers pay a fee to participate. Such fee may be calculated (i) as a flat processing fee; or (ii) as part of Priority’s dynamic discounting offering. Under dynamic discounting, Suppliers agree to pay a discount in return for accelerated repayment terms (“Dynamic Discounting”). Additional terms may apply to Customer if Dynamic Discounting is used.
A&P. A&P is a privately held corporation duly incorporated, validly existing and in good standing under the laws of the State of Illinois, and has full corporate power and authority to conduct its business as presently conducted by it and to enter into and perform this Merger Agreement and to carry out the transactions contemplated by this Merger Agreement. A&P is duly qualified to do business as a foreign corporation in each state in which the nature of the business conducted by it or the character or location of the properties and assets owned or leased by it make such qualification necessary.
A&P. T. employee moving to a full time vacancy will receive entry level seniority on the full time seniority list.
