Antitrust Guidelines. Certain types of activities conducted by industry Members may be subject to scru- tiny under antitrust laws as being anti-competitive. In order to minimize exposure of the Alliance and its Members (together, and collectively with any other class of Members of the Alliance, the “Members”) to antitrust liability, the Alliance and each Member agree to abide by the following guidelines when participating with, for or on behalf of the Alliance:

The Accord: Generic Event Marketability & Access Agreement (GEMAA) While some activities among competitors are both legal and beneficial to the public and to the industry involved, group activities of competitors are subject to close and critical scrutiny under the U.S. antitrust laws. Agreements or combinations between or among competitors need not be formal to be subject to U.S. antitrust laws, but may potentially include any kind of understanding, formal or informal, secretive or public, under which participants in a marketplace can reasonably expect that one or more other participants have at least implicitly agreed to follow a particular course of action resulting in anti- competitive effects.

The Parties acknowledge that industry forums which are designed to share information can give rise to “Antitrust risk”, in particular in relation to allegations of collusion by participants in the same market. Accordingly, the Parties agree to comply with the Antitrust Guidelines contained in Schedule 2.
