Common use of Anti-Bribery and Corruption Clause in Contracts

Anti-Bribery and Corruption. (i) Neither any Loan Party nor, to the best knowledge of any Loan Party, any director, officer, employee, or any other Person acting on behalf of any Loan Party, has offered, promised, paid, given or authorized the payment or giving of any money or other thing of value, directly or indirectly, to or for the benefit of any Person, including without limitation, any employee, official or other Person acting on behalf of any Governmental Authority, or otherwise engaged in any activity that may violate any Anti-Corruption Law.

Anti-Bribery and Corruption. (i) Neither any Loan Party nor any Subsidiary thereof, nor, to the best knowledge of any Loan Party, any director, officer, employee, or any other Person acting on behalf of any Loan Party, has offered, promised, paid, given or authorized the payment or giving of any money or other thing of value, directly or indirectly, to or for the benefit of any Person, including without limitation, any employee, official or other Person acting on behalf of any Governmental Authority, or otherwise engaged in any activity that may violate any Anti-Corruption Law.

(i) Neither any No Loan Party noror any of its Subsidiaries or any director, officer or, to the best knowledge of any Loan Party, any director, officer, employeeemployee of, or any other Person acting on behalf of of, any Loan PartyParty or any of its Subsidiaries, has offered, promised, paid, given or authorized the payment or giving of any money or other thing of value, directly or indirectly, to or for the benefit of any Person, including without limitation, any employee, official or other Person acting on behalf of any Governmental Authority, or has otherwise engaged in any activity that may would violate any Anti-Corruption Law.

(ia) Neither any such Loan Party nor, to the best knowledge of any such Loan Party’s knowledge, any director, officer, employee, or any other Person anyone acting on behalf of such Loan Party has engaged in any Loan Partyactivity, has offered, promised, paid, given or authorized the payment or giving of will take any money or other thing of valueaction, directly or indirectly, to or for the benefit of any Personwhich would breach applicable anti-bribery and corruption laws and regulations, including without limitationbut not limited to the U.S. Foreign and Corrupt Practices Axx 0000, any employeeas amended, official or other Person acting on behalf and the Bxxxxxx Xxx 0000 of any Governmental Authority, or otherwise engaged in any activity that may violate any the United Kingdom (the “Anti-Bribery and Corruption LawLaws”).
